Phillips County Motor Sports, Inc. annual meeting Thursday, March 22, 2008, Stretch’s, Malta MT

President Greg Kirkwood called the annual corporate meeting of Phillips County Motor Sports, Inc. to order at 7 p.m., Thursday, March 22, 2008 at Stretch’s in Malta. Members present were Greg Kirkwood, Rick Starkey, Floyd & Sharon Kindle, Brent Waters, Denny Overcast, Dallas Waters, Jamie Ulrich, John Carnahan, Dennis Bebee, ( I hope I didn’t forget anyone).

The meeting was preceded with a no-host pizza smorgasbord with around 40 people attending.

Treasurer Starkey gave the following report:

First Security Bank savings -$1,531.66; First State Bank savings - $4,969.13; First State Bank checking - $500; Independence Bank checking - $307.61. First State Bank - $10,000 CD. Resulting in a total of $17,308.40. The check registered showed payments made to Floyd Kindle for stamps and postage for $84.99 and to John Carnahan for $200 fuel for hauling guardrail from Billings. Denny Overcast moved to accept the report and payment of bills with a second from Floyd Kindle and motion adopted. Income showed $100 for two years membership for Lynn Cummings; $100 for two years membership for John Carnahan; $250 lifetime membership for Dan Olson; $250 lifetime membership for Dave Olson; $50 for membership for Toad Olson; $300 for Denny Overcast for concrete sponsorship.

Old business:

President Kirkwood called for the minutes and John Carnahan moved to strike 2007 from the motion reading: Phillips County Motor Sports, Inc. be sanctioned by International Hot Rod Association in 2007. (This did not take place so motion needed to be changed). Rick Starkey seconded and motion adopted. Sharon Kindle moved to accept the revised 2007 annual corporate minutes with a second from John Carnahan and motion adopted.

New business:

Denny Overcast moved to delete the paragraph on page 7 in the Articles of Incorporation stating PCMS would have a seal. A seal is not needed. John Carnahan seconded and motion adopted.

President Kirkwood read the letter of Sharon Kindle’s resignation of director and announced he was stepping down as director and a letter would be forthcoming. Election of five directors was held with Denny Overcast and Dan Olson as stepping up to the two-year terms filled by resignations and Dan Stout, John Carnahan, and Leroy Dyrdahl who were up for re-election. There being no further nominations, Sharon Kindle called for a unanimous vote to be cast. John Carnahan seconded and the five directors were elected.

President Kirkwood touched on hi-lights of what PCMS would work on for 2008. Erect more guardrails, fence, concrete runway, timing tower and more.

The meeting was set-aside for the speaker of the evening.

Hank Coolidge, Sunburst, Top Alcohol Funny Car Driver, was introduced as speaker who touched on his racing career, which began in 1997. He emphasized the work and dedication to building and maintaining a racecar and assembling the pit crew needed. He ended with what he wants placed on his tombstone; Life is not a journey to the grave with the intention of arriving safely in a pretty and well preserved body, but rather to skid in broadside, thoroughly used up, totally worn out, and proclaiming, "Wow What a Ride!!!"

There being no further business to come before the board the meeting was adjourned at 7:30 p.m.
